Terms of Service

1. Acceptance of terms

By accessing the Pheenyx website, signing up for an account, or using any Pheenyx agent (WhatsApp, Booking, Lead Response or Call), you agree to be bound by these Terms of Service ("Terms"). If you're agreeing on behalf of a business, you confirm you have the authority to bind that business to these Terms. If you don't agree, please don't use Pheenyx.

2. What Pheenyx provides

Pheenyx builds and operates AI-powered agents that connect to a business's WhatsApp number, calendar, and (where enabled) phone line, to answer customer enquiries, capture leads, and book appointments on the business's behalf. Pheenyx also provides a dashboard for reviewing conversations, bookings and leads.

Pheenyx is a tool that assists your business — it is not a replacement for your own judgement about how to run it. You remain responsible for the products, services, prices and commitments your agent communicates to your customers, and you should review your agent's setup before it goes live.

3. Eligibility & your account

• You must be at least 18 years old and legally able to enter into a binding contract to use Pheenyx.
• You're responsible for the accuracy of the business information you provide (services, prices, hours, policies) — your agent uses this to answer customers.
• You're responsible for keeping your dashboard PIN and any account credentials confidential, and for all activity that happens under your account.
• You must have the right to connect the WhatsApp number, calendar and phone line you provide to us.

4. Fees & payment

Pricing for Pheenyx is agreed directly with each business based on the agents and scope selected, and confirmed in writing (WhatsApp message, email, or invoice) before setup begins. Where payments are processed online, they are handled by a third-party payment processor (such as Razorpay); Pheenyx does not store your card or bank details.

• Subscription fees are billed in advance for each billing cycle unless otherwise agreed.
• Fees are non-refundable except as described in our Refund & Cancellation Policy.
• We'll notify you in advance of any pricing changes to an active subscription.
• Failure to pay may result in suspension of your agent(s) until payment is resolved.

5. Acceptable use

You agree not to use Pheenyx to:

• Send unsolicited bulk messages, spam, or communications that violate WhatsApp's own Business Policy or Meta's platform terms.
• Impersonate another person or business, or misrepresent your affiliation with any person or entity.
• Collect or process customer data unlawfully, or in a way that violates applicable data protection law.
• Attempt to reverse-engineer, disrupt, or gain unauthorised access to the Pheenyx platform or its underlying systems.
• Use the service for any illegal purpose, or to promote illegal goods or services.

We may suspend or terminate access for accounts that violate this section, with notice where reasonably possible.

6. Your customers' data

When your agent talks to your customers, it processes the messages, appointment details and contact information those customers share. You are the data controller for your customers' information — Pheenyx processes it on your behalf, as described in our Privacy Policy. You're responsible for making sure you have a lawful basis to collect and process your customers' data, including any consent required by applicable law.

7. Third-party services

Pheenyx connects to and relies on third-party services to function, including WhatsApp Business (Meta), calendar providers (such as Google Calendar), cloud infrastructure providers, AI model providers, and payment processors. Your use of Pheenyx is also subject to the applicable terms of these providers, and Pheenyx isn't responsible for outages or changes on their end that are outside our control.

8. Intellectual property

Pheenyx, its logo, dashboard, and underlying software are the property of Phoenix Innovations Group. You retain ownership of your own business content (your services, prices, policies, and any material you provide us to configure your agent). We're granted a licence to use that content solely to operate your agent and dashboard.

9. Availability & changes

We aim to keep Pheenyx agents running reliably, but we don't guarantee uninterrupted availability — third-party outages (WhatsApp, calendar providers, hosting) can affect service. We may update, add to, or change features of Pheenyx over time; we'll aim to give notice of changes that materially affect how your agent works.

10. Liability

Pheenyx is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Phoenix Innovations Group isn't liable for indirect, incidental, or consequential damages arising from your use of the service, including lost profits or lost business opportunities. Our total liability for any claim relating to Pheenyx is limited to the fees you paid us in the three months before the claim arose. Nothing in these Terms limits liability that can't be limited under applicable law.

11. Termination

You may stop using Pheenyx and cancel your subscription at any time by messaging us — see our Refund & Cancellation Policy for how billing is handled. We may suspend or terminate your access if you materially breach these Terms, don't pay outstanding fees, or use the service in a way that risks harm to us, our other clients, or their customers.

12. Governing law

These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of Pheenyx will be subject to the exclusive jurisdiction of the courts of Punjab, India.
